SEC Comment Letter Series · Vol. 1 — de-SPAC

What the SEC Really Asks in de-SPAC Reviews

14,960 comments on 280 S-4 / F-4 reviews: the topics, the follow-ups, and the answers that close them

We read every public SEC comment on de-SPAC registration statements and every company response, linked each follow-up to the answer it rejected, and joined the result to SPAC, sponsor and deal data. This volume explains what the Staff asks inside the most-questioned topics — projections, revenue recognition, valuation, the background of the deal — which answers close a comment and which bring it back, and whether the SPAC or the target decides how hard the review is.

Abstract

Abstract

SEC comment letters are public, but they are rarely read at scale. We segmented 14,960 Staff comments on 280 de-SPAC S-4 / F-4 reviews, labelled each by topic, rebuilt every follow-up thread from the Staff's own references ("We note your response to prior comment 8…"), and matched 5,925 comments to the company answer that followed and to what SEC did next. We then ask four questions. What exactly does the Staff ask within each major topic? Which answers close a comment, and which are re-raised? Do the SPAC's size, sponsor and advisers change the burden? And does the target — its valuation, revenue and industry — matter more? SPAC IPO reviews and traditional IPO reviews are different populations and are covered in Volumes 2 and 3.

Abstract

摘要

SEC 意见函是公开的,但很少有人成规模地读。我们把 280 笔 de-SPAC 的 S-4 / F-4 审核中 14,960 条 SEC 意见逐条切分、按主题打标,按 SEC 自己的引用(“We note your response to prior comment 8…”)
